Travel Partner Program Terms and Conditions

Disclaimer: This Agreement contains Squaremouth’s standard Travel Partner Terms and Conditions for most Travel Partner or Affiliate accounts, including all accounts using Our online self-service signup process. Any separate Agreement between Squaremouth and You or Your company supersedes and overrides these Terms and Conditions.

1) Identification of the Parties.
“Program” means the Squaremouth Travel Partner Program.
“We”, “Us”, “Ours”, “Squaremouth” means Squaremouth, LLC, and all related entities.
“You”, “Your” means the party identified as an “Affiliate” and who has enrolled in the “Squaremouth Travel Partner Program” to which this agreement pertains.

2) Relationship of the Parties. You enter into this Agreement as an independent contractor and shall not be an employee of Squaremouth. You are authorized to represent Squaremouth only for the purposes of fulfilling the mandate of this Agreement. As such, You will not act on behalf of Squaremouth, and therefore cannot bind Squaremouth other than as stipulated in this Agreement.

3) Term of the Agreements. The term of this Agreement will begin upon Our acceptance of Your Program application and will end when terminated by either party. Either You or We may terminate this Program at any time, with or without cause, by giving the other party written notice of termination.

4) International Partners. Due to strict insurance regulations in the United States, We are unable to accept internationally based partners or affiliates. You and Your company must be registered in the United States, and legally able to transact business in the United States to participate in this Program.

5) Referral Credits and Earnings. You are only eligible to earn referral credits on sales occurring during the term, and made through Your Program link, or by referencing Your Program ID number during the purchase process by phone or on Our website. For example, if Your Program ID number is “12345” the Program link will appear as, www.squaremouth.com/12345.
Any sales not made through Your Program link or by referencing Your Program ID number will not be eligible to earn referral credits, and means You are not an agent, affiliate or sub affiliate for that sale.

In addition, sales made through paid search engine ads, such as Google or Bing, will not be eligible to earn referral credits. Tin Leg Group policy sales, offered and managed by Arch RoamRight, are also non-commissionable.

Add-On Products, optional upgrades, or other eligible additions may be available during the purchase process, based on traveler eligibility. Add-On Products are separate policies offering supplemental coverage, and are assigned separate policy numbers to the main policy purchased. Referrals for Add-On Products, optional upgrades and other eligible additions are compensated at the same rates outlined below.

Travel insurance products are not designed to cover travel for the purpose of obtaining medical treatment, or as a replacement for major medical or health insurance. Sales determined to have been made for this purpose are not eligible to earn commission or Fixed Tier Payments. This Agreement may be terminated by Us if You are deemed to be using the Program to make such sales.

All referral credits will be paid using Check or ACH to a US bank account. If You elect to use ACH, You are required to hold a valid checking account that accepts ACH deposits. Squaremouth verifies ACH account details prior to sending payments. If ACH is selected and Your account cannot be verified, payment will be made by Check until your account details are updated and verified. For all payment options, payment will be made when Your accrued referral credits exceed $50.00. Payment will be made within forty-five (45) days following the end of the month in which the sale was made. Cancellations or modifications to a policy made by the customer after the initial sale will be adjusted accordingly, and may result in an adjustment in remittance.

We will pay a referral commission of 20% of the premium amount if You hold a valid insurance license. You will receive instructions on how to submit Your insurance license for approval after signing up for the Program. Until Your active insurance license is received and validated by Our team, Your account will remain eligible for Fixed Tier Payments.

If You do not hold a valid insurance license, We will pay a Fixed Tier referral credit based on the premium, as shown in the “Fixed Tier Payment Schedule”.

You agree to not transact business, advise about or recommend an insurance policy unless You maintain proper insurance licenses in good standing where required by law.

Per Florida Statute 626.730, You may not use this Program for the purpose of securing rebates or commissions on “controlled business”, that is, on insurance written on Your own interests or those of Your family or of any firm, corporation, or association with which You are associated, directly or indirectly, or in which You have an interest other than as to the insurance thereof.

6) Advertisement and Copyright. You agree to abide by the rules and regulations regarding the advertising of travel insurance via the Internet and as set forth in this Agreement. You agree to use only advertising and marketing materials and descriptions of travel insurance coverages as furnished or approved by Squaremouth. Though any "framing" (text around information from our website or a link to our website) is not required to be approved in advance, Squaremouth retains the right to revise any misrepresented or incorrect content published by You at any time. You may not use the logo or service marks or registered trademarks of Squaremouth without permission from Squaremouth. However, for clarity, You shall not be required to remove references to Squaremouth as permitted by law to be used under the “fair use” doctrine under the Copyright Act of 1976, the trademark fair use exception under U.S. trademark law, and/or the First Amendment of the U.S. Constitution during or after the term of this Agreement.

During the term of this Agreement, You agree that Squaremouth shall have the right to use Your logo, name and registered service marks and trademarks on Squaremouth’s website to reference and reflect the partner relationship, only if such use is approved by You in writing.

During the term of this Agreement, You shall not bid on or attempt to purchase query terms with any search engine platform that contains any of the following word(s):  (i) Squaremouth; (ii) Tin Leg; or (iii) any mark, name, or domain name of any type which is confusingly similar to “Squaremouth” or “Tin Leg,” or any misspelling thereof.

7) Modification. We may modify any of the terms and conditions contained in this Agreement, at any time and at Our sole discretion, by posting a change notice or a new Agreement on this site. Modifications may include, for example, changes in the scope of available referral credits, credit schedules, payment procedures and Program rules. If any modification is unacceptable to You, Your only recourse is to terminate this Agreement. Your continued participation in the Program following Our posting of a change notice or new Agreement on Our site will constitute binding acceptance of the change.

8) Limitation of Liability. We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if We have been advised of the possibility of such damages. Further, Our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral credits paid or payable to You under this Agreement.

9) Independent Investigation. You acknowledge that You have read this Agreement and agree to all its Terms and Conditions. Both parties understand that either party may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate websites that are similar to or compete with either party’s website. You have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee or statement other than as set forth in this Agreement.

10) Miscellaneous. This Agreement will be governed by the laws of the United States and the State of Florida, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in the State of Florida, and You irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without Our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce Your strict performance of any provision of this Agreement will not constitute a waiver of Our right to subsequently enforce such provision or any other provision of this Agreement.

11) Per Our Privacy Policy (linked below), with proof of identity and in compliance with exceptions prescribed by law, persons who purchase insurance on Our site using Your Program link, or “Users”, will have reasonable access to Your personal information as entered to sign up for this Program. Users will be entitled to modify, change, and/or remove any non-necessary or inaccurate personal information in Our database. Removal of User contact information will stop any future communications from Squaremouth, LLC. You also have limited access to User information within Our system, and must comply with all relevant and applicable privacy and data protection laws, when collecting and storing User information in Your own database.

You are also entitled to modify, change, and/or remove any of Your own non-necessary or inaccurate personal information in Our database. Removal of necessary personal information may result in deactivation of Your Program link.

12) Acceptance of Terms and Conditions. By checking the box next to the statement, “I have read and understand the Terms and Conditions.”, and by completing the Program sign up, You indicate that You accept the Program Terms and Conditions in its entirety.
